INDEPENDENT CONTRACTOR AGREEMENT - THE FORTIS ACADEMY, LLC
This Independent Contractor Agreement (the “Agreement”) is entered into by and between The Fortis Academy, LLC and (hereinafter “Contractor”).
Scope of Work. Contractor agrees to assist The Fortis Academy, LLC in one or all of the following positions:
Coach, trainer, and mentor in the gym and turf or any other training space, which may include spaces at other facilities.
Hockey coach or any other sport skills coach to include but not limited to soccer or lacrosse.
Tryout evaluator to help evaluate youth athletes for a youth association, club, or team.
Term of Agreement. This Agreement shall take effect when fully executed by the Parties, and shall remain in effect until written termination of the Contractor agreement by The Fortis Academy, LLC.
Contractor’s Warranties and Representations. Contractor warrants and represents that he/she will: (i) carry out his/her tasks and duties in a competent and professional manner that reflects well on The Fortis Academy, LLC; (ii) assume responsibility for the safety and security of all persons during The Fortis Academy, LLC activities.
Nature of Relationship. Contractor understands and agrees that Contractor is an independent contractor and not an employee of The Fortis Academy, LLC. Contractor is solely responsible for and controls the means and manner by which services under this Agreement are completed. Contractor has the right to perform training, coaching, and mentoring services for others during the term of this Agreement so long as they do not interfere with Contractor’s responsibilities under this Agreement.
Contractor further agrees that as an independent contractor, she/he is not eligible to receive any fringe benefits, unemployment benefits, or worker’s compensation benefits, and that any payments to Contractor for such services shall not be subject to income tax withholding, FICA or FUTA taxes, or otherwise. The Fortis Academy, LLC shall issue Contractor a Form 1099 for payments made to Contractor under this Agreement, and Contractor acknowledges that she/he shall be fully responsible for paying all taxes on the amounts paid. Contractor is responsible for her/his own insurance and benefits. Contractor shall not enter into any agreement or incur any obligations on The Fortis Academy’s behalf, or commit The Fortis Academy, LLC in any manner, without the prior written consent of The Fortis Academy, LLC.
Assumption of Risk: Contractor acknowledges that the services Contractor will be providing involve certain risks and hazards. Contractor assumes all risks associated with the performance of these services, including but not limited to accidents, injuries, death, property damage, and any other risks inherent in the nature of the work to be performed.
Release and Indemnification: In consideration of being engaged as a contractor by The Fortis Academy, LLC I hereby release, discharge, and hold harmless The Fortis Academy, LLC, its officers, directors, employees, agents, and affiliates from any and all claims, demands, actions, causes of action, liabilities, costs, expenses, or damages of any kind that may arise out of or in connection with my provision of services.
Payment
Payment for services will be agreed upon in writing between Contractor and The Fortis Academy, LLC.
No Third-Party Rights. This Agreement is for the benefit of the parties hereto, and it is not entered into for the benefit of and shall not be construed to confer any benefit upon any other person or entity.
Voluntary and Knowing. Contractor acknowledges that he/she has read and understands the terms of this Agreement and that he/she is voluntarily and without duress entering into this Agreement with full knowledge of its implications.
